Decree No. 37/2015/ND-CP dated April 22, 2015 of the Government provides detailed regulations on the conclusion and implementation of construction contracts in investment and construction activities, especially for projects using state capital. The Decree sets out general principles requiring that contracts must be made in writing, consistent with the results of contractor selection, and compliant with relevant laws. Construction contracts are categorized by the nature of work—such as consulting, construction, equipment supply, EPC, turnkey contracts—and by pricing method, including lump sum, fixed unit price, adjustable unit price, time-based, or combined price contracts. The contract must clearly define terms regarding the scope of work, price, schedule, payment method, price adjustment, guarantees, responsibilities, contract termination, and dispute resolution. Price adjustments are only permitted when contractual and legal conditions are met. This Decree took effect on June 15, 2015, and replaced previous regulations issued by the Ministry of Construction on construction contracts.
