Decree No. 09/2018/ND-CP, effective from January 15, 2018, provides detailed regulations on the Commercial Law and the Law on Foreign Trade Management regarding the purchase and sale of goods by foreign investors and foreign-invested economic organizations in Vietnam.
Key contents include:
- Clearly defines the scope of permitted business activities such as export, import, distribution, logistics, and e-commerce.
- Sets out conditions and procedures for the issuance and revocation of Business Licenses and Licenses for Establishment of Retail Outlets, as well as procedures for suspension or termination of operations in Vietnam.
- Applies Economic Needs Test (ENT) criteria before granting licenses for the second and subsequent retail outlets.
- Assigns responsibilities to the Ministry of Industry and Trade, the Ministry of Planning and Investment, provincial-level People’s Committees, and Departments of Industry and Trade in licensing, supervision, data disclosure, and enforcement.
- Replaces Decree No. 23/2007/ND-CP and aims to improve the business environment with greater transparency and efficiency for foreign investors.
