Circular 06/2019/TT-NHNN was issued by the State Bank of Vietnam on June 26, 2019, providing guidance on foreign exchange management for foreign direct investment (FDI) activities in Vietnam.
This Circular took effect on September 6, 2019, replacing Circular 19/2014/TT-NHNN.
According to the Circular, foreign investors and Vietnamese investors in enterprises with foreign direct investment capital are allowed to contribute capital in foreign currency or Vietnamese dong based on the capital contribution level recorded in documents such as:
- Investment Registration Certificate,
- Establishment and Operation License,
- Notification on meeting the conditions for capital contribution, share purchase, or acquisition of contributed capital by foreign investors,
- Public-Private Partnership (PPP) contracts,
- Other legal documents proving the capital contribution compliance with Vietnamese law.
Capital contribution in cash must be made via bank transfer into a direct investment capital account. Vietnamese investors who are residents are permitted to contribute capital using their own foreign currency sources.
Additionally, the Circular regulates:
- Opening and use of direct investment capital accounts in foreign currency and Vietnamese dong;
- Transferring funds for pre-investment activities;
- Capital transfers, profit remittances, and other legal revenue remittances abroad;
- Capital transfer and project transfer procedures.
