Apolat Legal advised one of the biggest cake manufacturers in Viet Nam, which owns many assets, both tangible and intangible, in transferring its factory to another company. In this case, there are many types of assets in the factory to be transferred in one deal. Each type of asset requires a different procedure to complete the transfer of ownership under Vietnamese law. Moreover, some of the tangible assets are used to mortgage for loans at the bank. These factors requires lawyers involved to have wide and profound knowledge and experience in all aspects that the transferred assets involved, including real estate, banking, intellectual property, etc.
The difficulty of this deal is not about skills of drafting agreement or negotiation to reach the mutual consent to sign the Assets Transfer Agreement between the parties; it is about how the consulting lawyers determined the procedures of transferring assets, and adjust the transfer procedures to suitably handle problems arising while performing the contract and negotiating payment installments to best protect the client’s interest in the deal.
